Terms & Conditions for F5 Partner Incentive

Definitions

“Data Protection Legislation” means the Data Protection Act 2018.

"Participant" or “You” means individual customers of Arrow who have registered to take part in the Programme.

“Partner” means an organisation which is a current member of Arrow’s partner program.

“Partner Management” means authorised, legal representatives of the participating Partner organisation.

"Programme" means Arrow’s “Race to the summit With F5” partner development campaign and all its component parts.

“Promoter” or “Arrow” means Arrow Enterprise Computing Solutions Limited, whose registered office is at Nidderdale House, Beckwith Knowle, Otley Road, Harrogate HG3 1SA.

“Administrator” means an authorised Arrow agent, responsible for Award delivery.

“Award” means an authorised payment delivered to the participant via an Arrow authorised third party supplier. The Award will take the form of a digital Amazon.com voucher.

“Deal Registration” means a F5 deal registration submitted, and approved, via the F5 Partner website. The value of the submitted deal must be at F5 RRP and in $USD.

“Closed F5 Deal” means a purchase transaction of single or multiple F5 NGNIX, Shape, Volterra or Silverline products on a single Arrow Purchase Order.

“Terms and Conditions” mean these Terms and Conditions for F5 Partner Incentive

“Website” means https://secure-eugo.arrow.com/Race-To-The-Summit

General Terms

These Terms and Conditions apply to Arrow’s ‘Race to the Summit with F5’ programme.

This Programme runs from 22nd November 2021 – 22nd November 2022.

By taking part in the Programme, accessing the Participant account, transacting Awards, or using any other aspect of the Programme, the Participant will be deemed to have read, understood and accepted these Programme terms and conditions.

The Promoter shall be entitled to amend these Terms and Conditions and/or to amend, suspend, withdraw or cancel the Programme including for the avoidance of doubt any associated Awards at any time and without prior notice. These Terms and Conditions together with any other instructions

listed elsewhere on the Website form the full Terms and Conditions. It is the Participant’s responsibility to familiarise itself with these Terms and Conditions on a regular basis for possible changes.

The Promoter reserves the right, in its sole discretion, to disqualify any Participant that acts in any fraudulent manner, or affects the administration, security, fairness, integrity, or proper conduct of the Programme, who tampers with the entry process or Award redemption, or may benefit from such tampering.

The Promoter assumes no responsibility in relation to the Programme for any error, omission, interruption, deletion, defect, delay in operation or transmission.

Participants must not register for the Programme on behalf of another individual or company. Only one e-mail address per Participant will be allowed for registration purposes.

In the event of any disputes relating to the Programme, the Promoter’s decision shall be final and binding. All disputes relating to Awards and fulfilment will be at the discretion of the Promoter.

To the extent permissible by law, the Promoter and/or their employees, contractors, suppliers and agents associated with the programme, including but not limited to F5, shall not be liable for and shall be held blameless for any loss, damage, injury or any claim whatsoever which is suffered (including but not limited to indirect or consequential loss) as a result of or arising from a person participating in the Programme.

The Promoter cannot guarantee the performance of any third party and shall not be liable for any act or default by a third party. Participants in this Programme agree that the Promoter will have no liability whatsoever for any injuries, losses, costs, damages or disappointment of any kind resulting in whole or in part, directly or indirectly from acceptance, misuse or use of an Award, or from participation in this Programme. Nothing in this clause shall limit the Promoter’s liability in respect of death or personal injury arising out of its own negligence.

Where Participants are given notice of Programme termination, all qualifying activities must be communicated to the Promotor within 30 days following the notification of the end of the Programme.

Data Protection Privacy

The Promoter shall act as Data Controller as defined in Data Protection Legislation. The Promoter agrees to comply with their obligations under all applicable legislation. In particular, the Promoter shall share Personal Data with the Administrator for the purposes of administration of the Programme, fulfilment of Awards to the Participant, communications regarding the Programme and other Promoter related marketing as outlined in the Privacy Policy.

Eligibility

This Programme is open to all Arrow partners residing in the United Kingdom and Ireland. To participate, the Partner must be a current member of the Arrow’s partner program in good standing.

Participants must be a resident in the United Kingdom and Ireland and are 18 years of age or older at the time of entry.

Employees must obtain written prior permission from Partner Management of their employer to participate in this scheme.

This Programme cannot be combined with any other programmes, offers or rebates.

Programme Awards will be delivered to the Partner organisation’s authorised representative, unless otherwise stated.

Participants in the Programme shall only earn Awards on completion of eligible activities as set out by the Promoter. No alternative Award or cash alternative will be made available.

Employees of the Promoter, their employees, contractors, suppliers and agents associated with the programme are not eligible to participate in the Programme.

Earning Programme Awards

Programme Awards will be awarded to each Participant based on completing qualifying activities. These include

Approved F5 Deal Registrations -

· £30 Award for a deal reg opportunity (via Arrow) above $20K

Closed/booked F5 Deals -

· £100 Award for a booked deal up to $100K

· £200 Award for a booked deal $100K and above

F5 Sales enablement training -

· £25 Award to Reseller employees for each completed Sales enablement training in F5 focus product. (F5 NGINX, F5 Shape, F5 Volterra, F5 Silverline.)

F5 Technical enablement training –

· £25 Award to Reseller employees for each completed technical enablement training in focus F5 product. (F5 NGINX, F5 Shape, F5 Volterra, F5 Silverline.)

Receiving and Delivery of Awards

Awards cannot be redeemed for cash or any other kind of payment by the Promoter to the Participant.

Participants may not combine qualifying activities with other forms of payment, pool, transfer or combined with any other Participant within the Programme in order to redeem Awards.

Arrow will endeavour to deliver Award items within 28 days from the acknowledgement of the qualifying criteria by an authorised Arrow representative.

The delivery of all Award items will be made to the email address as supplied by the Participant at the time of Programme registration.

Programme Awards are not transferable or assignable. Under no circumstances may Programme Awards be offered/given to or shared with the Participant’s customers, whether directly or indirectly.

There is an individual limit of 2000GBP Award pay-out for any one participant during the Programme period.

All claims for Programme Awards must be received by 1st December 2022.

The Partner organisation and Participants in this Programme must comply with all applicable anti-bribery and anti-corruption laws and the Arrow’s Business Partner Code of Conduct at all times.

The Promoter may, in its sole discretion, disqualify any participant from this Programme, and modify, suspend, or terminate this Programme, in whole or in part, at any time and for any reason. In the event of any disputes concerning this Programme, Awards or these terms and conditions, the decision of the Promoter will be final.

Any fraudulent activity of qualifying criteria, Participant accounts, and reward redemptions may result in the termination of Participants account and the cancellation of any Award orders placed. The Promoter and Administrator shall seek to recover from the Participant any losses incurred as a result of fraudulent activity.

Tax and National Insurance

The Promoter absolves itself from any liability arising from any tax or National Insurance Contributions arising from this Programme.

Participants who receive Awards via this Programme are solely responsible for declaring the value of such Awards and paying any applicable taxes and National Insurance fees.

Any interpretation of these Terms and Conditions or the Programme shall be resolved under the internal laws of England and Wales. Any claims or issues arising under these Terms and Conditions shall be resolved exclusively in the courts of England.
